MathCup Academy Inc. Terms of Service
Put simply: respect the law, respect others, and have fun in math!
The following are the terms and conditions of this Agreement between the User and MathCup Academy ("MCA") Inc regarding all contents and services provided by MCA (the Service):
Registration
In consideration of your use of the Service, you agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the Service's registration form and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or if MCA has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, MCA has the right to suspend or terminate your account and refuse any and all current or future use of the Service. MCA is concerned about the safety and privacy of all its users, particularly children. For this reason, parents, guardians, or school officials of children under the age of 13 who wish to allow their children or students access to the Service must create an account that is maintained by a legal guardian or school representative of at least 18 years old and monitor the child's usage. By allowing a child access to their account, you also give your child permission to access all areas of the Service. Please remember that the Service is designed to appeal to a broad audience. Accordingly, as the legal guardian or school representative, it is your responsibility to determine whether any of the Service areas and/or Content are appropriate for your child.
Member Conduct
You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials (Content), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated. This means that the User, and not MCA, is entirely responsible for all Content that the User uploads, posts, e-mails, transmits, or otherwise makes available via the Services. While MCA makes reasonable efforts not to allow offensive, indecent, or objectionable material on this site, by using the Services, the User may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances will MCA be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, e-mailed, transmitted, or otherwise made available via the Service. The User agrees as follows:
- upload, post, email, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
- threaten or harm minors in any way;
- "stalk" or otherwise harass another;
- impersonate any person or entity, including, but not limited to, a ChessKid.com representative, or falsely state or otherwise misrepresent your affiliation with a person or entity;
- forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Service;
- upload, post, email, transmit or otherwise make available any Content that you do not have a right to make available under any law or under contractual or fiduciary relationships;
- upload, post, email, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;
- upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation, except in those areas that are designated for such purpose;
- upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
- disrupt the normal flow of dialogue or otherwise act in a manner that negatively affects other users' ability to engage in real time exchanges;
- interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service;
- collect or store personal data about other users in connection with the prohibited conduct and activities set forth in the paragraphs above.
Content Ownership & Copyright
MCA does not claim ownership of the Content you submit or make available for inclusion on the Service. However, with respect to Content you submit or make available for inclusion on publicly accessible areas of the Service, the User hereby grants a non-exclusive, perpetual, irrevocable, fully sub-licensable, world-wide, fully-paid-up license which allows MCA to use, distribute, reproduce, modify, adapt, publish, translate, publicly perform, and publicly display such Content (in whole or in part) and to incorporate such Content into other works in any format or medium now known or later developed.
Warranties
Warranties - MCA makes no warranty that: (a) the Services will meet your requirements, (b) the Services will be uninterrupted, timely, secure, or error-free, (c) the results that may be obtained from the use of the Services will be accurate or reliable, (d) the quality of any products, Services, information, or other material purchased or obtained by you through the Services will meet your expectations, and (e) any errors in the software will be corrected. MCA MAKES NO WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO, ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. MCA SHALL NOT HAVE ANY LIABILITY WHATSOEVER FOR ANY COVER OR SET OFF NOR FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Indemnity
You agree to indemnify and hold MCA and its affiliates, officers, agents, employees, partners and licensors harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Content you submit, post, transmit or otherwise make available through the Service, your use of the Service, your connection to the Service, your violation of the TOS, or your violation of any rights of another.
Assignments
Neither party may assign or delegate any or all of its rights or its duties or obligations hereunder without the consent of the other party, which consent shall not be unreasonably withheld or delayed; provided, however, that either party may assign this Agreement, without the need to obtain consent of the other party, to an affiliate of such party or to a successor in interest to substantially all of the business of that party to which this Agreement relates. An assignee of either party authorized hereunder shall be bound by the terms of this Agreement and shall have all of the rights and obligations of the assigning party set forth in this Agreement. An assignment which is in violation of this Agreement is void.
Use of Content
All materials and resources presented on or accessed through the Services is provided by MCA as a service to its visitors and readers and may be used for information purposes only. MCA assumes no responsibility for errors or omissions in these materials. MCA makes no commitment to update the information contained herein.
Limits for Data Storage and Use
MCA may establish general practices and limits concerning use of the Services, including without limitation the maximum number of days that any Content contributed by you will be retained by the Services, the maximum disk space that will be allotted on MCA server space on your behalf, and the maximum number of times (and the maximum duration for which) you may access the Services in a given period of time. MCA has no responsibility or liability for the deletion or failure to store any messages and other communications or other Content maintained or transmitted by the Service. MCA reserves the right to terminate accounts that are inactive for an extended period of time.
Proprietary Rights
The User agrees not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Services, use of the Services, or access to the Services. This does not apply to the resale of any books purchased by the User. MCA reserves the right to terminate, without prior warning, the access of any User to any Service or Content, for violation of any of the above Terms, or for any other reason at MCA's sole discretion.
Governing Law
This Agreement shall be governed by the laws of the State of New York without regard to any conflicts of law provisions.
Copyright Infringement Claims
If you believe that any material on this web site is an infringement of your copyright, you must notify us in writing via email as listed below:

Upon receipt of a bona fide notification of copyright infringement and upon verification,
MCA will remove the allegedly infringing material and notify the User who provided the material.
Users who repeatedly post Content that infringe on other entities' copyrights are subject to having their MCA access terminated.
